8b: Lease of Space

The corporation uses the property of David Braden and his mother, Elizabeth Braden, for research, design, prototyping, and testing facilities. This is currently an oral arrangement to lease the property for an indefinite term for no rent. In the event the corporation agreed to pay rent in the future, the rental rate and terms would be negotiated in accordance with the corporation's conflict of interest policy, after consideration by the Board without the participation of any interested party, and after review of the terms and rates paid by other organizations in similar circumstances, to ensure that the corporation pays no more than fair market value for use of the property.

 

Supervision of Projects

Currently, David Olivero volunteers his time without pay to supervise the construction of certain facilities designed, built and being tested by the corporation. It is anticipated that this type of construction supervision will be required in conjunction with the corporation assisting neighborhood groups to build and operate food cells. In the event the corporation agreed to pay David compensation for that service, the compensation would be negotiated in accordance with the corporation's conflict of interest policy, after consideration by the Board without the participation of any interested party, and after review of compensation paid by other organizations in similar circumstances for similar services, to ensure that the corporation pays no more than fair market value for those services.

 

Project Coordination

It is anticipated that assisting neighborhood groups to build and operate facilities developed by the corporation will require a person to take responsibility for communication between the neighborhood group and the corporation. It is possible that members of the Board of Directors would be willing to take on that duty and that the corporation will agree to reasonable compensation for performing that duty. In the event the corporation agreed to pay a Board member for that service, the compensation would be negotiated in accordance with the corporation's conflict of interest policy, after consideration by the Board without the participation of any interested party, and after review of compensation paid by other organizations in similar circumstances for similar services, to ensure that the corporation pays no more than fair market value for those services.
